Terms and Conditions

Summary
These Terms and Conditions ("Terms") govern access to and use of the BioDent Order Management App, related web portal, and associated services provided by BioDent Myanmar ("BioDent", "we", "us", or "our").
The Services are offered on a business-to-business basis to dental clinics, authorized clinic personnel, and BioDent operational staff for managing laboratory orders, payments, production workflows, delivery, and feedback.
By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility and Authorized Use
- The Services are intended for registered dental clinics, licensed or authorized dental professionals, and BioDent-approved operational users.
- You represent that you have authority to bind your clinic or organization to these Terms.
- You must provide accurate registration information and keep account details current.
- Accounts are non-transferable except with BioDent's prior written approval.
2. Accounts and Security
- You are responsible for maintaining the confidentiality of login credentials and for all activity under your account.
- You must notify BioDent promptly of any unauthorized access or suspected security breach.
- BioDent may suspend or restrict access where we reasonably believe an account has been compromised or misused.
- Role-based permissions may limit what each authorized user can view or do within the Services.
3. Description of Services
The Services enable clinics to browse BioDent products and services, submit orders, upload case information, track production status, manage payments and credits, receive notifications, and provide feedback. BioDent staff may use separate operational tools to manage production tasks, delivery routes, receivables, and administrative functions.
Features, pricing, payment methods, delivery options, and service availability may change over time. BioDent may add, modify, suspend, or discontinue features with reasonable notice where practicable.
4. Orders, Case Information, and Clinical Responsibility
- Clinics are responsible for the accuracy and completeness of all order details, including patient information, specifications, attachments, and delivery instructions.
- Clinics must obtain any required patient consent or authorization before submitting patient information through the Services.
- Submitted orders are requests for laboratory services and may require review, clarification, or acceptance by BioDent before production begins.
- Production timelines, urgent order charges, remake policies, and quality standards may vary by product and will be communicated through the Services or separate clinic agreements where applicable.
- BioDent staff may, with appropriate authorization, assist clinics by entering orders on their behalf using approved impersonation or support workflows.
5. Payments, Credits, and Billing
- Prices, packages, credits, discounts, and payment terms displayed in the Services are subject to confirmation and applicable clinic arrangements.
- Supported payment methods may include prepaid packages, clinic credits, upfront payment, order-now-pay-later invoices, KPay, MPU, bank transfer, and cash on delivery where offered.
- You agree to pay all amounts due for confirmed orders, packages, urgent services, delivery charges, and other applicable fees.
- Credits, promotions, and package benefits are subject to the rules displayed at the time of purchase and may expire or change.
- BioDent may suspend order processing for overdue balances or unresolved payment disputes.
6. Delivery, Notifications, and Feedback
- Delivery timelines are estimates and may be affected by case complexity, missing information, quality review requirements, logistics, or force majeure events.
- Clinics authorize BioDent to send service-related notifications to clinic contacts and, where order details are provided, to patients for delivery updates or feedback requests.
- Feedback submitted through the Services may be used by BioDent to improve products, workflows, and customer support.
7. Acceptable Use
You agree not to:
- Use the Services for unlawful, fraudulent, or unauthorized purposes.
- Submit false, misleading, incomplete, or infringing information or content.
- Attempt to access accounts, data, or systems without authorization.
- Interfere with or disrupt the integrity, security, or performance of the Services.
- Reverse engineer, scrape, or copy the Services except as permitted by law.
- Use the Services to transmit malware, spam, or harmful code.
8. Intellectual Property
The Services, including software, design, branding, documentation, and content provided by BioDent, are owned by BioDent or its licensors and are protected by applicable intellectual property laws.
You retain ownership of content you submit, but grant BioDent a non-exclusive license to use, store, reproduce, and process that content as necessary to provide and improve the Services.
9. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you also agree to the Privacy Policy.
10. Disclaimers
The Services are provided on an "as is" and "as available" basis to support business operations between clinics and BioDent. To the fullest extent permitted by law, BioDent disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
The Services do not replace professional clinical judgment. Clinics remain solely responsible for patient diagnosis, treatment planning, prescriptions, and clinical decisions.
11. Limitation of Liability
To the fullest extent permitted by law, BioDent will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption arising from or related to the Services or these Terms.
BioDent's total liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount paid by you to BioDent for the specific order or service giving rise to the claim during the three (3) months preceding the event, unless a higher limit is required by applicable law.
12. Indemnification
You agree to indemnify and hold harmless BioDent, its directors, employees, contractors, and affiliates from claims, losses, liabilities, damages, and expenses arising from your use of the Services, your submitted content, your breach of these Terms, or your violation of applicable law or third-party rights.
13. Suspension and Termination
BioDent may suspend or terminate access to the Services immediately if you breach these Terms, create security or legal risk, fail to pay amounts due, or if continued access is no longer commercially or operationally viable.
You may request account closure by contacting BioDent. Termination does not affect accrued payment obligations or rights that by their nature should survive termination.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the Republic of the Union of Myanmar, without regard to conflict of law principles.
The parties will attempt to resolve disputes in good faith through direct communication. If a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the courts of Yangon, Myanmar, unless otherwise required by applicable law.
